Univercycle Ebike Affiliate Program Terms

AFFILIATE PROGRAM AGREEMENT

Please read this Affiliate Program Agreement carefully before registering for the Univercycle Ebike Affiliate Program. By signing up, you agree to be bound by the following terms and conditions.

1. Enrollment and Approval
We reserve the right to review and approve or reject any affiliate application at our sole discretion. You must provide accurate and complete information during registration. If we find your website, social media, or marketing channels contain inappropriate content (including but not limited to violence, discrimination, illegal activities, or adult content), your account will be rejected or terminated immediately.

2. Referral Link and Cookie Duration
- Upon approval, you will receive a unique referral link.
- Our program uses cookies to track referrals. The cookie duration is set to 14 days. This means if a customer clicks your link, you will receive commission if they make a purchase within 14 days, provided they do not clear their cookies or click another affiliate's link afterward.

3. Commission and Payout Terms
- Commission Rate: You will earn 5% commission on the net sale amount (excluding shipping, taxes, discounts, and refunds) for qualified sales.
- Minimum Payout Threshold: The minimum amount required to request a payout is €25.
- Payout Schedule: Commissions are approved and paid on a Net-30 basis. This 30-day holding period is necessary to account for any customer refunds, chargebacks, or order cancellations. If a customer refunds their order, the corresponding commission will be voided.
- Payout Method: Payments will be made primarily via PayPal or Store Credit. It is your responsibility to provide a valid payment account.

4. Permitted and Prohibited Promotion Methods
To protect our brand reputation, you must strictly adhere to the following rules:
- No Brand Bidding (Trademark Bidding): You are strictly prohibited from bidding on our brand name "Univercycle Ebike", variations, or misspellings of our brand name on any search engine (including Google Ads, Bing Ads, etc.).
- No Coupon Site Submissions: You are not allowed to submit your referral code or coupon codes to public coupon aggregation websites (such as RetailMeNot, Honey, etc.). If we detect your code on these sites, it will be disabled, and your commission for those sales will be voided.
- No Self-Referrals: You cannot use your own referral link or coupon code to purchase products for yourself. Such orders will not qualify for commissions.
- No Spamming: You must not promote your links via unsolicited emails, bulk messaging, or spam comments on social media.
- Ethical Promotion: You must represent our brand truthfully. Do not make false claims about product efficacy, pricing, or shipping times.

5. Intellectual Property
We grant you a non-exclusive, non-transferable, revocable license to use our brand logos, product images, and promotional banners solely for the purpose of promoting Univercycle Ebike under this program. You may not alter or modify our creative assets without our prior written consent.

6. Relationship of Parties
You participate in this program as an independent contractor. This agreement does not create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Univercycle Ebike.

7. Termination
Either party may terminate this agreement at any time, with or without cause, by giving written notice to the other party. Upon termination, you must immediately cease using all referral links and our intellectual property. If your account is terminated due to a violation of these terms (such as brand bidding or coupon site spamming), all pending and unpaid commissions will be forfeited.

8. Limitation of Liability
We will not be liable for indirect, special, or consequential damages arising in connection with this agreement or the affiliate program.
